FAW Group to Acquire 35.8% Stake in Zhuoyu Technology, Expanding into ADAS Development

Upon completion of the transaction, FAW Group and New Territory will hold 35.8% and 34.85% stakes in Zhuoyu Technology, respectively, jointly controlling the company.

China’s State Administration for Market Regulation (SAMR) recently disclosed the filing of a transaction in which China FAW Co., Ltd. (FAW Group) will acquire a stake in Shenzhen Zhuoyu Technology Co., Ltd.

According to the filing, FAW has signed an agreement with New Territory and Zhuoyu Technology to obtain a partial equity interest in the company through a combination of capital injection and equity acquisition.

Once the transaction is completed, FAW will hold a 35.8% stake in Zhuoyu, making it the largest shareholder. The original controlling shareholder, New Territory, will see its stake reduced from 70.65% to 34.85%. The two sides will establish a joint-control structure and share decision-making authority over Zhuoyu.

New Territory, established in October 2022 in Hong Kong, primarily functions as the equity holder of Zhuoyu Technology, while also engaging in R&D, design, manufacturing, and sales of drones, handheld imaging devices, robotics education, and related solutions.

Zhuoyu Technology was spun off from DJI’s automotive division in 2023 and formally launched its independent “Zhuoyu” brand in June 2024.

Positioned as a technology company dedicated to advanced driver assistance systems (ADAS), Zhuoyu has strong capabilities in intelligent perception, decision-making control, and systems integration, with proven product commercialization.

The company follows a technology roadmap emphasizing “low-cost, high-level intelligent driving.” Its solution claims to deliver highway navigation capabilities with just 32 TOPS of computing power, and city navigation with 100 TOPS.

This system has already entered mass production in models from SAIC-GM-Wuling, FAW Hongqi, and Volkswagen Talagon, among others. Notably, Zhuoyu’s “oil-electric unified intelligence” approach enables its system to support both internal combustion engine vehicles and new energy vehicles.

According to its official website, Zhuoyu’s current customers include Volkswagen, SAIC-GM-Wuling, Chery, FAW, Dongfeng, and GWM, with its FAW collaborations centered on Hongqi-branded models.

Cooperation brands with Zhuoyu

At the 2025 Shanghai Auto Show, Zhuoyu announced an expanded list of nine major partners, adding BYD, Audi, and BAIC Group.

As of April 2025, Zhuoyu’s Chengxing platform had already reached mass production in more than 20 models, with over 30 additional models slated for production.

It is also noteworthy that in December 2024, Shenzhen BYD Chuangxin Materials Co., Ltd., a subsidiary of BYD, participated in Zhuoyu’s Series A financing round. BYD now holds a 5.18% stake, making it the fourth-largest shareholder.
